DO THE SERVICES COST ANYTHING?

Paid Products and Services. Certain aspects of our Services, including the purchase of any BEAUTY OF THE NILE products, services, or subscriptions offered by us, are subject to our Subscription Terms and any other payment terms that may be presented to you at the time you purchase such Services from time to time (the "Paid Services"), each of which are deemed part of these Terms. These payment terms may include recurring, automatically renewing payment obligations (as further set forth in the "Auto-Renewals and Recurring Billing" section below). If you wish to use the Services, you must pay any and all applicable fees for such Paid Services. Auto-Renewals and Recurring Billing. Some of the Paid Services, may consist of an initial period for which there is a one-time charge or a Trial Offer (defined below), followed by recurring periodic charges as agreed to by you when you sign up for such auto-replacing products ("Subscription Services"). Unless you opt out of a Subscription Service, which can be done via the methods described below, the Subscription Services that you have signed up for will be automatically extended for successive renewal periods of the same duration as the subscription term you originally selected, at the then-current non-promotional rate. By choosing a Subscription Service, you acknowledge that such Subscription Service has an initial and recurring payment feature, and you accept responsibility for all recurring charges prior to the effective date of cancellation. All recurring payments relating to Subscription Services are fully earned upon payment. If you terminate a Subscription Service, your subscription will not be renewed after your then-current subscription term expires. Billing. We use a third-party payment processor (our "Payment Processor") to bill you through a payment account linked to your Account on the Services (your "Billing Account") for purchases. Processing of payments will be subject to the terms, conditions and privacy policies of our Payment Processor in addition to these Terms. We are not responsible for errors by the Payment Processor. By ordering BEAUTY OF THE NILE products and services, you agree to pay us, through our Payment Processor, all charges at the prices then in effect, in accordance with the applicable payment terms, and you authorize us, through our Payment Processor, to charge your chosen payment provider (your "Payment Method"). You agree to make payment using that Payment Method. We reserve the right to correct any errors or mistakes that it makes even if it has already requested or received payment. Payment Method. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your Payment Method. If we, through our Payment Processor, do not receive payment from you, you agree to pay all amounts due on your Billing Account upon demand. Current Information Required. CHANGES TO SUCH INFORMATION CAN BE MADE BY EMAILING CustomerCare@BeautyOfTheNile.com. Change in Amount Authorized. If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or change in the amount of applicable sales taxes), you have the right to receive, and we shall provide, notice of the amount to be charged and the date of the charge. Any agreement you have with your payment provider will govern your use of your Payment Method. Free Trials and Other Promotions. Any free trial or other promotion that provides access to a Paid Service (a "Trial Offer") must be used within the specified time of the trial. You must stop using a Paid Service before the end of the trial period in order to avoid being charged for that Paid Service. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THE FOREGOING WARRANTIES OR FOR PRODUCT DEFECTS SHALL BE OR REPLACEMENT OF OR, AT BEAUTY OF THE NILE'S OPTION OR IF REPLACEMENT IS IMPRACTICAL, REFUND FOR RETURNED NONCONFORMING UNITS OF PRODUCT FOR WHICH FULL DOCUMENTATION AND PROOF OF NONCONFORMITY IS PROVIDED TO BEAUTY OF THE NILE WITHIN THREE (3) MONTHS AFTER THE ORIGINAL NONCONFORMING UNITS (BUT NOT REPLACEMENTS) ARE SHIPPED BY BEAUTY OF THE NILE. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Maricopa County, Arizona, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, Maricopa County, Arizona. Miscellaneous. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and BEAUTY OF THE NILE agree that these Terms are the complete and exclusive statement of the mutual understanding between you and BEAUTY OF THE NILE, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of BEAUTY OF THE NILE, and you do not have any authority of any kind to bind BEAUTY OF THE NILE in any respect whatsoever. You and BEAUTY OF THE NILE, LLC agree there are no third party beneficiaries intended under these Terms.

GOVERNING LAW

These Terms of Service are governed by and construed in accordance with the laws of United States. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

BEAUTY OF THE NILE, LLC Acceptable Use Policy

This acceptable use policy covers the products, services, and technologies (collectively referred to as the “Products”) provided by BEAUTY OF THE NILE, LLC under any ongoing agreement. It’s designed to protect us, our customers, and the general Internet community from unethical, irresponsible, and illegal activity. BEAUTY OF THE NILE, LLC customers found engaging in activities prohibited by this acceptable use policy can be liable for service suspension and account termination. In extreme cases, we may be legally obliged to report such customers to the relevant authorities. This policy was last reviewed on 15 July 2024.

FAIR USE

We provide our facilities with the assumption your use will be “business as usual”, as per our offer schedule. If your use is considered to be excessive, then additional fees may be charged, or capacity may be restricted. We are opposed to all forms of abuse, discrimination, rights infringement, and/or any action that harms or disadvantages any group, individual, or resource. We expect our customers and, where applicable, their users (“end-users”) to likewise engage our Products with similar intent.

CUSTOMER ACCOUNTABILITY

We regard our customers as being responsible for their own actions as well as for the actions of anyone using our Products with the customer’s permission. This responsibility also applies to anyone using our Products on an unauthorized basis as a result of the customer’s failure to put in place reasonable security measures. By accepting Products from us, our customers agree to ensure adherence to this policy on behalf of anyone using the Products as their end users. Complaints regarding the actions of customers or their end-users will be forwarded to the nominated contact for the account in question. If a customer — or their end-user or anyone using our Products as a result of the customer — violates our acceptable use policy, we reserve the right to terminate any Products associated with the offending account or the account itself or take any remedial or preventative action we deem appropriate, without notice. To the extent permitted by law, no credit will be available for interruptions of service resulting from any violation of our acceptable use policy.

PROHIBITED ACTIVITY

Copyright infringement and access to unauthorized material Our Products must not be used to transmit, distribute or store any material in violation of any applicable law. This includes but isn’t limited to: any material protected by copyright, trademark, trade secret, or other intellectual property right used without proper authorization, and any material that is obscene, defamatory, constitutes an illegal threat or violates export control laws. The customer is solely responsible for all material they input, upload, disseminate, transmit, create or publish through or on our Products, and for obtaining legal permission to use any works included in such material.

SPAM AND UNAUTHORIZED MESSAGE ACTIVITY

Our Products must not be used for the purpose of sending unsolicited bulk or commercial messages in violation of the laws and regulations applicable to your jurisdiction (“spam”). This includes but isn’t limited to sending spam, soliciting customers from spam sent from other service providers, and collecting replies to spam sent from other service providers. Our Products must not be used for the purpose of running unconfirmed mailing lists or telephone number lists (“messaging lists”). This includes but isn’t limited to subscribing email addresses or telephone numbers to any messaging list without the permission of the email address or telephone number owner, and storing any email addresses or telephone numbers subscribed in this way. All messaging lists run on or hosted by our Products must be “confirmed opt-in”. Verification of the address or telephone number owner’s express permission must be available for the lifespan of the messaging list. We prohibit the use of email lists, telephone number lists or databases purchased from third parties intended for spam or unconfirmed messaging list purposes on our Products.

This spam and unauthorized message activity policy applies to messages sent using our Products, or to messages sent from any network by the customer or any person on the customer’s behalf, that directly or indirectly refer the recipient to a site hosted via our Products.

UNETHICAL, EXPLOITATIVE AND MALICIOUS ACTIVITY

Our Products must not be used for the purpose of advertising, transmitting, or otherwise making available any software, program, product, or service designed to violate this acceptable use policy, or the acceptable use policy of other service providers. This includes but isn’t limited to facilitating the means to send spam and the initiation of network sniffing, pinging, packet spoofing, flooding, mail-bombing, and denial-of-service attacks. Our Products must not be used to access any account or electronic resource where the group or individual attempting to gain access does not own or is not authorized to access the resource (e.g. “hacking”, “cracking”, “phreaking”, etc.). Our Products must not be used for the purpose of intentionally or recklessly introducing viruses or malicious code into our Products and systems. Our Products must not be used for purposely engaging in activities designed to harass another group or individual. Our definition of harassment includes but is not limited to denial-of-service attacks, hate-speech, advocacy of racial or ethnic intolerance, and any activity intended to threaten, abuse, infringe upon the rights of, or discriminate against any group or individual.
